Renumber It – End-User Licence Agreement (EULA)

This End-User Licence Agreement ("EULA") is entered into between Renumber It Pty Ltd (trading as Renumber It) (ABN 23 694 904 151) ("Renumber It", "we", "us", "our"), and you (the individual who accesses or uses the Renumber It web application at renumberit.com, "App").

By accessing or using the App, you acknowledge that you have read, understood and agree to be bound by this EULA. If you do not agree, you must not use the App.

In this EULA:

• •"Subscription" means a paid, recurring plan that grants access to Pro features for the subscription term.
• •"Free Runs" means the limited number of free uses available per account (as described in clause 2).
• •"Content" includes the text you input into the App (such as filenames) and the output generated by the App.

We grant you a revocable, non-exclusive, non-transferable, limited licence to access and use the App for your personal or internal business purposes during the period you are permitted to access the App (including under a Subscription), strictly in accordance with this EULA.

This EULA grants rights to use the App only. It does not grant you any ownership rights in the App.

We may provide limited free use of the App from time to time. Currently, each account may access three (3) free runs("Free Runs").

• •No payment card is required to use Free Runs.
• •Free Runs are per account and are not transferable.
• •We may change, suspend or end Free Runs at any time, subject to applicable law.

Unlimited uses of the App are available only with a paid Subscription. Subscriptions are processed by Stripe. By purchasing a Subscription, you authorise Stripe to charge the applicable subscription fees and taxes on a recurring basis in accordance with the plan you select.

• •Auto-renewal: Unless you cancel before the end of the current billing period, your Subscription will renew automatically and you authorise us (via Stripe) to charge the renewal fee.
• •Managing / cancelling: You can manage or cancel your Subscription via the Stripe billing portal (if made available within the App) or through other mechanisms we provide from time to time.
• •Price changes: We may change Subscription pricing. If we do, the change will apply from your next renewal date (or as otherwise required by applicable law), after we provide reasonable notice.
• •Refunds: We offer a refund if you request it within 7 days of your initial Subscription purchase. Refunds do not apply to renewal payments unless we agree otherwise or the law requires it. To request a refund, contact us at contact@renumberit.com.

You must not (and must not attempt to):

• a)copy, modify, adapt, translate, or create derivative works of the App;
• b)decompile, reverse engineer, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the App, except to the extent such restriction is prohibited by law;
• c)circumvent, disable, or interfere with security-related or access-control features of the App;
• d)use the App to develop, provide, or assist in developing a competing product or service;
• e)rent, lease, sell, sublicense, assign, distribute, or otherwise make the App available to any third party (including by account sharing), except as expressly permitted by this EULA;
• f)use any automated means (including bots, scrapers, or scripts) to access or use the App in a way that is intended to avoid fees, circumvent limitations, or disrupt the App; or
• g)use the App in violation of any applicable law or regulation.

Accounts are for use by a single individual only. You must not share your account credentials or permit others to access the App using your account. You are responsible for all activity that occurs under your account.

All intellectual-property rights in the App (including but not limited to source code, compiled code, designs, user interface, text, graphics, and trademarks) are owned by us or our licensors. Except for the limited licence granted under this EULA, no intellectual-property rights are transferred to you.

You retain all rights in your Content. As between you and us, you own (or are responsible for) the Content you input and the output you generate using the App.

The App is a productivity tool that generates output based on the information you provide. You are responsible for reviewing and verifying the output before relying on it, including before using it for any filing, evidentiary, compliance, or other important purpose.

Our collection and handling of personal information is described in our Privacy Policy available on renumberit.com. For clarity, the App is designed so that filenames you paste into the App and the renumbered output are processed locally in your browser and are not transmitted to our servers.

The App is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue the App (in whole or in part) at any time.

We do not promise to provide support, maintenance, updates, or any particular availability, uptime, or response time.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the App will be uninterrupted or error-free.

Nothing in this EULA excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or other applicable law that cannot be excluded, restricted, or modified.

To the maximum extent permitted by law, and except for liability that cannot be excluded under the Australian Consumer Law:

• a)we exclude all liability for any indirect, consequential, special, or incidental loss, including loss of profit, loss of business, loss of opportunity, loss of data, or reputational loss; and
• b)our total aggregate liability arising out of or in connection with the App or this EULA is limited to the total amount paid by you to us for the App in the 3 months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of or in connection with:

• a)your breach of this EULA;
• b)your misuse of the App; or
• c)your violation of any law or third-party rights in connection with your use of the App.

We may suspend or terminate your access to the App immediately if you breach this EULA or if we reasonably believe your use poses a security risk, legal risk, or could harm the App or other users.

You may stop using the App at any time. If you have an active Subscription, you must cancel it to prevent renewal.

Upon termination, the licence granted under this EULA ends and you must cease all use of the App. Clauses relating to intellectual property, warranties, liability, indemnity, governing law, and any clauses intended to survive termination will survive.

You confirm that you are at least 13 years old and, if you are between 13 and 18, you have obtained parental or guardian consent to use the App.

We may update this EULA from time to time. The latest version will be available on renumberit.com and/or within the App. Continued use of the App after an update becomes effective constitutes acceptance of the revised terms.

This EULA is governed by the laws of Victoria, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Melbourne, Victoria, for any dispute arising under or in connection with this EULA or your use of the App.
